Licence agreement

The agreement for the SnapToTackle software — the same text as the LICENSE.txt that comes with every download. Sending a game to us is covered by the terms of service instead.

SNAPTOTACKLE END USER LICENCE AGREEMENT
======================================

IMPORTANT - READ BEFORE INSTALLING OR USING THIS SOFTWARE.

This is a legal agreement between you ("you") and Kay-Maids LLC, trading as
SnapToTackle ("we", "us"), the publisher of SnapToTackle ("the Software"). By
installing, signing in to or using the Software you agree to be bound by it. If you
do not agree, do not install or use the Software, and you may request a refund
under section 9.

1. WHAT YOU ARE BUYING
--------------------------------------------------------------------------------

You are buying a licence to use the Software. You are not buying the Software
itself. We keep ownership of it, of its source code, and of everything in it.

Your licence is held on your SnapToTackle account, which is identified by the
email address the licence was bought with. What it permits - how many machines,
how many hours of film a year, for how long - is stated at the time of purchase
and is recorded against your account.

2. WHAT YOU MAY DO

2.1  Install and use the Software on up to the number of machines your licence
     allows, for as long as your licence is valid.

2.2  Use it commercially. If you break down film as a paid service for schools,
     clubs or athletes, that is an ordinary use of this Software and needs no
     further permission from us.

2.3  Keep and use the clips it produces without restriction from us. We claim no
     rights of any kind in your film or in the clips cut from it. See section 6.

3. WHAT YOU MAY NOT DO
--------------------------------------------------------------------------------

3.1  Share your account or its sign-in, publish, resell or sublicense your
     licence, or use it on more machines than your licence allows.

3.2  Sell, rent, lease or distribute copies of the Software itself, or make it
     available for others to download. Selling the service you perform with it
     is fine; selling the Software is not.

3.3  Reverse engineer, decompile or disassemble the Software, except to the
     extent that law expressly permits it despite this clause.

3.4  Remove or alter any licence, copyright or attribution notice in it.

3.5  Work around, disable or tamper with licensing or sign-in, or use a licence
     obtained by fraud, chargeback or any means other than a purchase from us.

3.6  Use the analysis we provide on our Gemini account (section 5.1) other than
     through the Software to break down your film, or attempt to obtain or use
     our API key.

4. SIGNING IN, AND WHAT WE SEND OURSELVES
--------------------------------------------------------------------------------

4.1  You use the Software by signing in to your SnapToTackle account with the
     email address your licence was bought with and a one-time code we email to
     it. Signing in on a computer takes one of your licence's seats; signing out
     frees it. The Software contacts our service when you sign in, when it
     starts, and when you start a run, to confirm your licence is active and to
     count the run against the hours of film your licence includes.

4.2  Signing in sends your email address, the code, the version of the Software
     and an anonymous identifier derived from your machine. The identifier is a
     one-way hash: it lets us count installations against your seat limit and
     cannot be reversed to identify you or your computer. Starting a run also
     sends the setting you chose, the film's length and a one-way fingerprint of
     the film file, so that running the same game again is not counted twice.
     The fingerprint cannot be reversed into your film, its name or where it is
     stored.

4.3  On your computer the Software keeps its sign-in, encrypted by Windows for
     your Windows user account, and a cache of its own results. It keeps no
     licence file and no API key.

4.4  We do not receive your film, your clips, your file names or your folder
     paths. Beyond the fingerprint and length in 4.2, we keep a record of each
     run's use of our Gemini account (section 5) - how much film it sent and how
     many analyses it asked for - and nothing else about what you analyse, with
     one exception you control: a problem report you choose to send carries what
     you write, the Software's version and your operating system, and the log of
     your last run only if you tick the box to include it. That log shows the
     film's file name and folder.

4.5  Starting a run needs an internet connection, and a run on our Gemini account
     needs one until it finishes. If our service cannot be reached a run may not
     start, or may not finish; the same film can be run again without using more
     of your hours.

4.6  We may suspend or end the licence on an account that was refunded, charged
     back, shared, or used in breach of section 3.

5. HOW YOUR FILM IS ANALYSED, AND WHAT IT COSTS
--------------------------------------------------------------------------------

5.1  The Software analyses film using Google's Gemini API. Unless you choose
     otherwise it does so on our Gemini account, and the cost is included in your
     licence: nothing more is billed to you, and a run counts only against your
     licence's hours of film. For each part of a film, our service starts an
     upload with Google, the Software sends that part directly to Google, and our
     service asks Google to analyse it. Your film does not pass through our
     servers, and our API key never reaches your computer.

5.2  You may instead use your own Gemini API key. If you save one, it is checked
     with Google and stored on your SnapToTackle account, encrypted. The Software
     fetches it when a run needs it, keeps it only in memory, and sends it only to
     Google; we use it for nothing else, and you can remove it at any time. Google
     bills you directly for runs on your own key, and they still count against
     your licence's hours. We are not a party to your arrangement with Google and
     receive no part of what it bills.

5.3  The cost figures the Software shows you before a run on your own key are
     estimates, calibrated against measured runs. Actual charges depend on
     Google's pricing, your film, and your settings. You are responsible for what
     Google bills you.

5.4  Google may change its pricing, its models, or its terms at any time. We do
     not control that and cannot be held to any particular cost. We may change
     how analysis on our Gemini account is provided, including how often the
     same film may be analysed in a day.

6. YOUR FILM IS YOURS

6.1  We claim no ownership of, and no licence to, your film or your clips.

6.2  The Software reads your film from where it sits and writes clips beside it.
     It does not upload your film to us, and we never receive a copy.

6.3  Short, low-resolution excerpts of your film, with their sound, are sent to
     Google for analysis, on our Gemini account or under your own API key, as
     described in section 5 and in the third-party notices. Each is deleted from
     Google once it has been analysed, and Google deletes anything left behind
     within 48 hours.

6.4  You are responsible for having the right to analyse the film you process -
     including any consent needed for footage of minors - and for complying with
     the rules of any league, school or association you work under.

7. NO WARRANTY

7.1  The Software is provided "as is". To the fullest extent the law allows, we
     disclaim all warranties, express or implied, including merchantability,
     fitness for a particular purpose and non-infringement.

7.2  We do not warrant that it will find every play, that its timestamps will be
     right, or that its output is fit for any particular purpose. It uses a
     statistical model to judge video, and such models are wrong sometimes. Check
     the output before you rely on it.

7.3  Keep your original film. The Software is designed never to modify or delete
     it, but no software is perfect and a backup is your responsibility.

8. LIMITATION OF LIABILITY
--------------------------------------------------------------------------------

8.1  To the fullest extent the law allows, we are not liable for indirect,
     incidental, special, consequential or punitive damages, nor for lost profits,
     lost data, lost film, or Gemini API charges however they arise.

8.2  Our total liability under this agreement will not exceed what you paid us
     for the Software in the twelve months before the claim.

8.3  Nothing here excludes liability that cannot lawfully be excluded, including
     liability for death or personal injury caused by negligence, or for fraud.
     Some jurisdictions do not allow some of the exclusions above, in which case
     they apply to you only so far as that jurisdiction permits.

9. REFUNDS, TERM AND TERMINATION
--------------------------------------------------------------------------------

9.1  If the Software does not do what you bought it for, contact us within 30
     days of purchase for a refund.

9.2  This licence runs until it expires or is terminated.

9.3  We may terminate it if you materially breach section 3 and do not put the
     breach right within 14 days of us telling you about it. On termination you
     must stop using the Software and remove it from your machines.

9.4  Clips you have already produced remain yours. Termination of this licence
     does not reach back into your work.

10. THIRD-PARTY SOFTWARE
--------------------------------------------------------------------------------

The Software includes open-source components, each under its own licence, listed
in full in THIRD-PARTY-NOTICES.txt. Nothing in this agreement limits your rights
under those licences; where they conflict with this agreement, they prevail for
the component they cover.

ffmpeg is NOT included with the Software. The Software can install it on your
machine from a signed package at your request, and calls it as a separate
program. It is governed by its own licence and terms, not by this agreement.

11. GENERAL
--------------------------------------------------------------------------------

11.1 This agreement is the entire agreement between us about the Software and
     replaces anything said or written beforehand.

11.2 If a court finds any part of it unenforceable, the rest stays in force.

11.3 Our not enforcing a term on one occasion does not waive it.

11.4 You may not transfer this licence to anyone else without our written
     consent.

11.5 This agreement is governed by the laws of the State of Iowa, USA, without
     regard to its conflict-of-laws rules.
